Every business has a lifecycle. And sometimes, without timely intervention, a distressed business can slip into a terminal condition. But how can you tell the signs when a business has an impending need for palliative care?

And at the end of its lifespan, the ways you care for a failing or expiring business during its final months and weeks can be critical in mitigating the discomfort and pain experienced by employees, customers, creditors, vendors, owners and shareholders. 

You’ll learn how to diagnose when an issue could be terminal for a business and about the alternatives for winding down a business both in and out-of-court. Attendees will leave with insights into topics such as: how to handle Assignment for the Benefit of Creditors (ABC), when to choose Chapter 7 bankruptcy, how to navigate an Article 9 foreclosure and how to mitigate personal risk and remove liability from these circumstances.

As president of Resolute, Jeremiah (Jerry) Foster leads the firm’s team of industry experts in advising creditors, equity holders and enterprises as they navigate the many phases of a turnaround, restructure or crisis management plan. Now in its 13th consecutive year of continuing growth, Foster founded Resolute in 2008 when he witnessed early evidence of a down market – which ultimately was realized as the Great Recession.

To date, Foster has been appointed as a Chief Revenue Officer, Interim Chief Executive Officer, Trustee, Receiver, Special Master, or Liquidating Trustee for more than 100 ventures and has personally been involved in the sale of more than $600MM of going concern and real estate transactions.

Foster has a history of creating success by providing vision and leadership to voids he sees in the market. Driven by the thrill of creating successful ventures, he was a major contributor to growing a startup company with a single digit number of employees and propelled it to a $100MM NASDAQ IPO (IGOI) – while creating his own technology company along the way that he eventually sold.

He is dedicated to community service as a current Board Member for Special Olympics of Arizona and Emeritus Board Member of Junior Achievement of Arizona.

From the Phoenix office of Perkins Coie, Bradley Cosman counsels both Phoenix-area clients and businesses nationwide across the full spectrum of corporate restructuring issues, including legal, strategic, financial and operational. Drawing from a unique financial background and experience as a turnaround consultant, Cosman is adept at identifying and implementing legal strategies that work in the context of insolvency.
